Introduction

Below is a list of anticipated questions and responses from our employees, as we launch a change in the company name. We recognize that we have not anticipated all questions. Therefore, we encourage you to use the “Ask LDX Solutions” webpage at https://www.dustex.com/ldx (password: LDX2019!) or ask your manager any questions needing a response. Note that this document and “Ask LDX Solutions” will be updated and maintained to assist all of us in making this transition a smooth one. This document should not be forwarded to any person or party outside of the company

Employees

Will I still be an employee of Dustex LLC or Lundberg LLC?
No. All domestic employees will become employees of LDX Solutions. Upon final transition, your payroll check will be issued by LDX Solutions. You will be notified in advance of the timing. Employees of Lundberg SL will see no change until we have legally changed the name in Spain.

Will there be any changes to the internal reporting structure resulting from the change in company name?
No. The functional organization structure was modified last year with the creation of the two business segments – Air Pollution Control (APC) and Process Systems (PS). We do not anticipate any changes in the organizational structure as a direct impact of the change in company branding.

We will continuously look for opportunities to improve the efficiency of our entire organization and will actively seek opportunities to leverage our combined talents, tools, and geographical footprint. Every employee bears responsibility for both following established policies and practices, as well as seeking opportunities for continuous improvement. While not all ideas will be implemented; all are welcome.

Will my email address change?
Yes. All employees will receive a new email address incorporating the new company name. The naming convention will generally be first initial last name @ LDXSolutions.com (e.g., Jane Doe will become jdoe@ldxsolutions.com). Your current company email addresses will be automatically forwarded to your new address. You will receive additional instructions on sending a notification to your email contact list regarding the new email address, as well as the standard email signature that all employees will be requested to utilize in the future.

Will I receive new business cards?
Yes. All employees who require business cards will receive new business cards in advance of the public announcement with the new company logo and all product names. You will receive a separate communication to verify the accuracy of your contact information prior to ordering new business cards.

Will I receive new health (medical/dental/vision), health spending account (HSA), flexible spending account (FSA), and T&E cards with the new company name?
Yes. As each of these cards are part of our overall company branding, you will be receiving new health benefit, HSA, FSA, and T&E cards with the new company name. The replacement of cards could extend several months beyond the announcement. Your current cards will continue to be accepted by service providers and you should not destroy or stop using your current cards until you receive and activate your new cards.

Will we change the signage on our buildings and company-owned vehicles?
Yes. As these are part of our overall company branding, we will modify the building signage, as well as replace the current magnetic door branding with the new company logo. This will require coordination with multiple landlords and therefore will likely occur over the next several months rather than immediately.

Can I continue to wear clothing and carry backpacks and other items that have legacy names and logos on them?
Yes. As stated, we will seek to support and build on our trade names (Dustex®, Geoenergy®, and Lundberg®). However, in support of our rebranding initiative, we will seek to emphasize the new company name when we are meeting with customers and suppliers and therefore should seek to prominently display the LDX Solutions logo. Future purchase of logo wear and items provided to employees, customers, and suppliers will seek to promote both the company and product trade names. Darlene Huggins will coordinate the redesign of our logo wear and items and will provide offices with a list of approved suppliers and designs.

Customers

How will we notify customers of the name change and impact on current, pending, or future projects?
The notification to current and prospective customers will vary from customer to customer and region to region and include some combination of emails, letters, phone calls, and personal visits. As we are using this opportunity to clarify our overall company branding and entire portfolio of products and services, we will seek to utilize the method(s) that will create the greatest benefit to the organization. Our sales team(s) will be primarily responsible for rolling out the change in company name to our customers.

Rick Sroda, Brian Kalata, and Ibon Ezkerra will coordinate the communication to our customers to ensure consistency of messaging and timeliness of communication. You will be notified of your role and approach, if applicable, to the roll out of the change in company name to customers.

How will the change in company name impact active contracts?
As Dustex LLC, Lundberg LLC, and Lundberg SL remain legal entities in good standing, and the name change does not alter the legal responsibilities under existing contracts, we will not seek to change the company name stated in existing contracts. However, change orders on existing contracts entered into after the announcement of the company name change, as well as future invoices issued by the Seattle or Atlanta offices will use the new company logo and banking information. Lundberg SL will not make this change until the legal entity name has been changed.

We will not modify or replace outstanding letters of credit, bank guarantees, surety bonds for the change in company name, however, future issuance of such instruments with bear the new company name and reference the relationship to the stated legacy legal entity.

As we will be modifying our company bank accounts for the change in company name, we will provide the customers with updated settlement information. We will work with our financial institutions to ensure that they are able to receive, and deposit checks received after the change in company name that reference legacy legal names.

How will the change in company name impact active proposals?
As Dustex LLC, Lundberg LLC, and Lundberg SL remain legal entities in good standing, and the name change does not alter the legal responsibilities under existing proposals, we will not reissue the proposals simply for the change in company name. However, the final contracts to be entered into related to such proposals should include the new company name and banking information.

Will the Company update the legacy legal names utilized in marketing materials, websites, and trade show signage?
Yes. We are in the process of updating our marketing materials, websites, and trade show signage. As previously stated, the new company logo, as well as the product trade names will be prominently displayed in such items to support and market both our company and product branding. We believe that it is imperative that our multiple websites and related search engines direct inquiries to our company and product brand names. Darlene Huggins will coordinate the update of our marketing materials, websites, and trade show signage to ensure consistency of messaging and content.

Suppliers / Service Providers

How will we notify suppliers and service providers of the name change and impact on current, pending, or future purchases?
The notification of current and prospective suppliers and/or service providers will vary from supplier to supplier and region to region and include some combination of emails, letters, phone calls, and personal visits. As we are using this opportunity to clarify our overall company branding and entire portfolio of products and services, we will seek to utilize the method(s) that will create the greatest benefit to the organization. Our procurement team, as well as those with individuals with purchasing responsibility will be primarily responsible for rolling out the change in company name to our suppliers and service providers.

Rick Sroda, Lucas Rice, and Ibon Ezkerra will coordinate the communication to our suppliers to ensure consistency of messaging and timeliness of communication. Ron McCrummen will coordinate the communication to our service providers. You will be notified of your role, if any, and approach to the roll out of the change in company name to suppliers and service providers.

How will the change in company name impact open purchase orders?
As Dustex LLC, Lundberg LLC, and Lundberg SL remain legal entities in good standing, and the name change does not alter the legal responsibilities under existing purchase orders or contracts, we will not seek to change the company name stated in existing purchase orders or contracts. However, change orders on existing purchase orders entered into after the announcement of the company name change, as well as future payments, ACH, or wire transfers issued by the Seattle or Atlanta offices will utilize the new company logo and banking information. Lundberg SL will not make this change until the legal entity has been changed.

As we will be modifying our company bank accounts for the change in company name, we will provide the suppliers and service providers with updated settlement information.

Other Items

How should I reference the company name when answering the phone?
Following the public announcement of the change in company name, you should answer your company-telephone line with “LDX Solutions, the new name of ___________, this is ____________, how may I help you?” Once the marketing efforts gain traction and the company name is known, you will be able to drop the reference to the legacy legal name.

When will the electronic copies of the revised letterhead, title blocks, and standards for internal and external communication be available?
Such information will be available prior to the public announcement of the change in company name. We are working on the location(s) where such information will be stored and accessed by our employees. You will be notified of the availability, location, and timing of usage at a later date.
